Manufacturers and brands may change product packaging, ingredients, formulations, labeling, or specifications without prior notice.

NUA SEOUL curates and sells beauty and personal care products manufactured and supplied by independent third-party brands, manufacturers, distributors, and suppliers.

NUA SEOUL does not manufacture, formulate, alter, or independently develop the products offered through the Services unless expressly stated otherwise.

Product formulations, ingredients, manufacturing processes, labeling, specifications, usage instructions, warnings, and product-specific claims are determined by the applicable manufacturer or brand.

Certain products purchased through NUA SEOUL may be fulfilled and shipped directly to you by the applicable brand, distributor, fulfillment partner, or third-party supplier.

As a result, products included in the same order may be shipped separately, originate from different fulfillment locations, or have different delivery times.

NUA SEOUL does not independently guarantee the formulation, manufacturing process, individual suitability, or specific performance of products manufactured by third-party brands.

If you receive a damaged, defective, incorrect, or otherwise non-conforming product, please contact NUA SEOUL through our Contact Us page so that we may assist you with the applicable brand, supplier, or fulfillment provider.

Nothing in these Terms excludes or limits any rights or remedies available to you under applicable consumer protection laws.

SECTION 4 - COSMETIC PRODUCTS AND PRODUCT USE

Cosmetic, skincare, makeup, and personal care products may affect individuals differently depending on skin type, sensitivity, allergies, existing skin conditions, product combinations, and other individual factors.

Product information provided through the Services, including information regarding ingredients, product benefits, skincare concerns, beauty routines, or product recommendations, is provided for general informational purposes only.

Nothing provided through the Services is intended to constitute medical advice, diagnosis, treatment, or professional healthcare advice.

NUA SEOUL does not represent that any cosmetic or personal care product is intended to diagnose, treat, cure, or prevent any disease or medical condition.

You are responsible for reviewing the ingredients, warnings, and usage instructions for a product before use.

If you have known allergies, sensitivities, skin conditions, or other health concerns, you should consult an appropriate healthcare professional before using a product.

Where appropriate, we recommend performing a patch test before using a new skincare or cosmetic product.

If irritation, discomfort, an allergic reaction, or another adverse effect occurs, discontinue use and seek appropriate professional advice where necessary.

NUA SEOUL does not guarantee that any product will produce a particular cosmetic, skincare, beauty, or personal result.

To the fullest extent permitted by applicable law, NUA SEOUL is not responsible for allergic reactions, sensitivities, irritation, or other effects resulting from individual sensitivities, allergies, misuse, failure to follow product instructions, or characteristics inherent to products manufactured by third-party brands.

Nothing in this Section excludes liability or consumer rights that cannot lawfully be excluded or limited.

SECTION 5 - ORDERS

When you place an order through the Services, you are making an offer to purchase the selected products.

Receipt of an automated order confirmation does not necessarily constitute final acceptance of your order.

NUA SEOUL reserves the right to accept, decline, modify, or cancel an order where reasonably necessary, including where:

  • a product is unavailable;

  • pricing or product information is incorrect;

  • payment authorization cannot be obtained;

  • we reasonably suspect fraudulent or unauthorized activity;

  • the order violates applicable laws or shipping restrictions;

  • the destination cannot be serviced by the relevant supplier or carrier; or

  • a technical, administrative, or inventory error has occurred.

Payment must be successfully processed before an order can be fulfilled.

Please review your order carefully before submitting it. Once an order has entered fulfillment, we may not be able to accommodate cancellation or modification requests.

If we cancel an order after payment has been received, we will issue an appropriate refund using the original payment method, subject to applicable payment processor requirements.

Purchases are subject to our Refund Policy.

Unless otherwise agreed in writing, products sold through the Services are intended for personal or household use and not for unauthorized commercial resale.

NUA SEOUL does not control exchange rates, foreign transaction fees, or other charges imposed by your bank, card issuer, or payment provider.

SECTION 7 - INTERNATIONAL ORDERS, TAXES AND CUSTOMS

NUA SEOUL may make products available for delivery to customers in multiple countries.

International orders may be subject to customs duties, import taxes, VAT, brokerage fees, processing fees, or other governmental charges imposed by the destination country.

Unless expressly stated otherwise during checkout, these charges are not included in the product price or shipping fee and are the responsibility of the recipient.

Customs regulations and import requirements vary by jurisdiction.

Customers are responsible for ensuring that products ordered through the Services may lawfully be imported, possessed, and used in the destination country.

The availability of a product through the Services does not necessarily mean that the product satisfies every regulatory, labeling, registration, or product requirement applicable in every destination country.

Because certain products may be fulfilled directly by third-party brands, suppliers, distributors, or fulfillment partners, products included in a single order may arrive in separate shipments.

All delivery dates and delivery times are estimates unless expressly stated otherwise.

Delivery may be delayed by circumstances outside our reasonable control, including:

  • carrier delays;

  • customs processing;

  • government inspections;

  • weather conditions;

  • public holidays;

  • transportation disruptions;

  • supplier processing times;

  • incorrect or incomplete delivery information; or

  • other events outside our reasonable control.

Customers are responsible for providing complete and accurate shipping information.

Additional fees resulting from an incorrect address, refused shipment, failed delivery, failure to collect a parcel, or re-shipment may be charged to the customer to the extent permitted by applicable law.

Risk of loss and responsibility for products during shipment will be determined in accordance with applicable law and the terms applicable to the relevant shipping or fulfillment arrangement.

SECTION 9 - RETURNS, REFUNDS AND EXCHANGES

Returns, refunds, cancellations, and exchanges are governed by our Refund Policy, which forms part of these Terms.

Due to hygiene, health, and safety considerations associated with cosmetics and personal care products, certain products may not be eligible for return once opened, used, unsealed, or otherwise altered, except where return or refund rights are required by applicable law.

  • promotional offers have no cash value;

  • promotional codes may not be exchanged for cash;

  • offers may not be combined with other promotions;

  • certain brands or products may be excluded;

  • minimum order values may apply;

  • geographic or customer restrictions may apply; and

  • promotions may be modified, suspended, or withdrawn where reasonably necessary.

Any specific terms presented in connection with a promotion will apply to that promotion.

SECTION 11 - INTELLECTUAL PROPERTY

The Services and their content, including trademarks, trade names, logos, text, photographs, graphics, illustrations, website layouts, interfaces, videos, audio, and other materials, are owned by or licensed to NUA SEOUL and are protected by applicable copyright, trademark, and other intellectual property laws.

  • use NUA SEOUL trademarks, logos, branding, or proprietary graphics;

  • frame or reproduce any portion of the Services on another website; or

Third-party brand names, trademarks, logos, product names, photographs, and other proprietary material displayed through the Services remain the property of their respective owners.

The display or sale of third-party products does not transfer ownership of any intellectual property rights relating to such products.

SECTION 13 - RELATIONSHIP WITH SHOPIFY

Our online store is hosted on Shopify, which provides the e-commerce platform and technology that enables us to operate the NUA SEOUL online store and provide the Services.

Purchases made through the NUA SEOUL store are transactions between you and NUA SEOUL.

Shopify provides the underlying e-commerce infrastructure but is not the seller or manufacturer of products offered through NUA SEOUL.

Certain services associated with your purchase, including payment processing or other technical functionality, may be provided by Shopify or its service providers and may be subject to additional terms or policies.

SECTION 14 - PRIVACY

Your submission of personal information through the Services is governed by our Privacy Policy.

Because our online store is hosted on Shopify, Shopify and other service providers may collect or process certain personal information in connection with your use of the Services, payment processing, order fulfillment, analytics, security, or other functionality.

SECTION 15 - REVIEWS, FEEDBACK AND USER CONTENT

  • you own or have the necessary rights to submit the User Content;

  • your User Content is accurate and not misleading;

  • your User Content does not infringe the rights of another person;

By submitting User Content, you grant NUA SEOUL a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, adapt, publish, distribute, display, and otherwise use such User Content in connection with operating, improving, and promoting the Services.

We may monitor, edit, restrict, or remove User Content that violates these Terms or applicable law.

You remain responsible for User Content that you submit.

Products manufactured by independent third-party brands are subject to the specifications, formulations, instructions, warranties, and representations provided by their respective manufacturers.

Nothing in this Section excludes or limits warranties, consumer rights, or remedies that cannot lawfully be excluded or limited.

SECTION 20 - LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, NUA SEOUL and its directors, officers, employees, contractors, service providers, and affiliates will not be liable for indirect, incidental, special, punitive, or consequential losses arising from your use of the Services or products purchased through the Services.

NUA SEOUL does not manufacture or formulate third-party products and, to the fullest extent permitted by applicable law, does not independently assume responsibility for the formulation, ingredients, manufacturing processes, or inherent characteristics of products manufactured by independent third-party brands.

NUA SEOUL will not be responsible for adverse reactions or results arising from individual allergies, sensitivities, misuse, failure to follow product instructions, unauthorized product combinations, or use inconsistent with manufacturer guidance, except to the extent responsibility cannot legally be excluded.

Where liability cannot legally be excluded, NUA SEOUL's liability will be limited to the fullest extent permitted by applicable law.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, or any mandatory rights and remedies available to consumers under applicable law.

SECTION 21 - INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless NUA SEOUL and its directors, officers, employees, contractors, affiliates, and service providers from third-party claims, liabilities, damages, and reasonable costs arising directly from:

  • your unlawful use of the Services;

  • your material violation of these Terms;

  • your violation of applicable law; or

  • your infringement of another person's rights.

This obligation does not apply to the extent that a claim results from NUA SEOUL's own unlawful conduct or liability that cannot legally be excluded.

SECTION 22 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law and, where necessary, severed from these Terms.

The remaining provisions will continue in full force and effect.

SECTION 23 - WAIVER AND ENTIRE AGREEMENT

Our failure or delay in exercising any right under these Terms does not constitute a waiver of that right.

These Terms, together with our Privacy Policy, Shipping Policy, Refund Policy, and any other policies expressly incorporated into these Terms, constitute the agreement between you and NUA SEOUL concerning your use of the Services and purchases made through the Services.

SECTION 24 - ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

NUA SEOUL may assign or transfer its rights and obligations in connection with a merger, acquisition, restructuring, transfer of business, or similar transaction, subject to applicable law.

SECTION 25 - GOVERNING LAW

These Terms and any separate agreements through which NUA SEOUL provides the Services shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms, the Services, or purchases made through the Services shall be handled by the competent courts of the Republic of Korea, except where mandatory consumer protection laws applicable to you provide otherwise.

Nothing in these Terms deprives a consumer of any mandatory protections or remedies available under applicable law.
